US Shipping OnlyMystery Ranch, LLC (“Mystery Ranch”) may sometimes reach out to social media users to seek their permission to feature our favorite content on Mystery Ranch’s various sites, social channels, and other promotional materials. If Mystery Ranch or a Licensed Party has reached out to you and you choose to allow Mystery Ranch to use your social media content (“User Content”) in this way, by replying to the request with the hashtag #sureMysteryRanch, or otherwise providing or posting content you generated in whatever form on Mysteryranch.com or otherwise, you agree that you have read, understand, and agree to be bound by the following User Generated Content Terms of Use (“UGC Terms”).
Mystery Ranch reserves the right to alter these UGC Terms without advance notice by posting a revised UGC Terms. Accordingly, you should review the UGC Terms each time you grant permission or authorization to feature your User Content.
User Content License
You hereby grant to Mystery Ranch and its officers, directors, employees, contractors, related companies, agents, and other affiliates (the “Licensed Parties”) a perpetual, irrevocable, royalty-free, fully sub-licensable and transferable worldwide license and permission to use, reproduce, edit, modify and exhibit, create derivative works of, transmit, distribute, and display all suggestions, ideas, graphics, or other information or materials of any kind or nature communicated by you (“User Content”) in any manner. Mystery Ranch or its Licensed Parties may use your User Content on webpages, social media pages, promotional e-mails, advertisements, and in all other marketing, promotional and advertising initiatives, in any and all media formats, whether now known or hereafter developed (“Mystery Ranch Properties”).
You grant the Licensed Parties the right to use your username, real name, image, likeness, descriptions of you, location or other identifying information, including but not limited to your voice, in connection with any use of your User Content. You agree the Licensed Parties have no obligation to use your User Content, name, or other identifying information. You hereby release, discharge and agree to hold the Licensed Parties, and any person acting on their behalf, harmless from any liability related in any way to the Licensed Parties’ use of your User Content.
The Licensed Parties reserve the right to cease use of any User Content at any time. If you believe any content, including User Content, used in connection with Mystery Ranch’s business infringes any person’s or entity’s copyright rights, please contact legal@yeti.com.
Representations and Warranties
You hereby represent and warrant that (i) you are solely responsible for your User Content, (ii) you are not a minor, (iii) you own all rights in and to your User Content and/or have obtained appropriate rights and permissions from all other persons and/or entities who own, manage or otherwise claim any rights with respect to such User Content and use of your User Content does not and will not require payment to any person or entity, (iv) you have all necessary rights and authority to grant the rights granted herein, and that the Licensed Parties’ use of your User Content in accordance with this release will not violate the rights of any third party, including but not limited to copyright, trademark, patent, trade secret, privacy, publicity, moral, proprietary or other rights, of any third party, or any law, rule or regulation (v) you have permission from all persons appearing in your User Content to grant the rights described in these UGC Term, (vi) the User Content is not libelous, defamatory, obscene, pornographic, harassing, hateful, or offensive or otherwise unlawful,(vii) the User Content does not contain any fraudulent statements or misrepresentations that could damage Mystery Ranch or any third party, and (viii) you have not received any compensation of any kind for the User Content, unless properly disclosed pursuant to FTC guidelines.
You agree to indemnify and hold harmless https://www.mysteryranch.com/privacy-policy against any and all claims, actions, liabilities, losses, damages, expenses, including reasonable attorneys’ fees, incurred by Mystery Ranch which arise out of or in any way connected with these UGC Terms, or from any breach by you of the representations and warranties contained therein.
Privacy Policy
The User Content that you submit is deemed non-confidential and we have no obligation to maintain the confidentiality of any information, in whatever form, contained in any submission, except pursuant to the Licensed Parties respective privacy policies. By agreeing to the UGC Terms, you are consenting to our processing of your personal data. In an effort to preserve your privacy, Mystery Ranch will use any personal data received in connection with the use of your User Content in accordance with these UGC Terms and Mystery Ranch’s Privacy Policy available at https://www.mysteryranch.com/privacy-policy or the Privacy Policy applicable in your country available on Mystery Ranch’s local website or upon request, which are hereby incorporated by reference.
Miscellaneous
MYSTERY RANCH Properties may be protected by copyright, trademark and other intellectual property laws. You acknowledge and agree that you do not acquire any ownership or other rights in proprietary information and materials of Mystery Ranch by authorizing use of your User Content or otherwise using or accessing any Mystery Ranch Properties. These UGC Terms constitute the entire agreement among the parties relating to the subject matter hereof, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written between you and the Licensed Parties. Notwithstanding the foregoing, to the extent your User Content is displayed on any of the Mystery Ranch Properties you also will be subject to additional terms of use, agreements, guidelines or rules provided by the Licensed Parties and you hereby agree to be bound by such additional terms of use or service, agreements, guidelines, instructions or rules provided or posted by the Licensed Parties. You agree that if Mystery Ranch does not exercise or enforce any legal right or remedy which is contained in these UGC Terms (or which Mystery Ranch has the benefit of under any applicable law), this will not be taken to be a formal waiver of MYSTERY RANCH’s rights, and that those rights or remedies will still be available to Mystery Ranch. If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these UGC Terms are invalid, then that provision will be removed without affecting the rest of the UGC Terms. The remaining provisions of these UGC Terms will continue to be valid and enforceable.
